Product Sets
Terms and Conditions
1. General Throughout these conditions ‘the Company’ means Nella Cutlery South Ltd and ‘the Customer’ means the other party to the contract of rental. We reserve the right to pass the contract to another of our Companies within the Nella group. These conditions are the only terms on which we provide our services and products. By ordering the products, the Customer agrees that their own conditions shall not apply to the contract, unless otherwise stated and agreed in writing by both parties. The acceptance of delivery of goods by the Customer will be deemed conclusive evidence of their acceptance of these conditions. 2. Prices Prices quoted do not include VAT and are subject to change. VAT is charged using the prevailing HMRC rate(s). 3. Passing of Ownership & Risk The title of goods shall remain vested with the Company and shall not pass to the Customer. The Customer must store the goods in such a manner that they are clearly identified as the Company’s property. The Company expressly reserves the right to repossess the goods in which the title has not passed and, for that purpose, to enter any premises under the control of the Customer to remove the goods. In the event of non-payment or insolvency, all invoices become immediately payable, and credit terms in clause 5 are withdrawn. Products that are not available for collection and/or deemed to be lost by the Customer will be charged for at our current book price, unless otherwise agreed in writing. We reserve the right to charge a deposit for this. Risk shall pass to the Customer on delivery. 4. Delivery Dates given by the Company for delivery and performance are statements of expectation only and shall not be binding. Failure by the Company to meet any such dates shall not entitle the Customer to any damages whatsoever including, but not limited to, any direct losses or loss of profits or production or any consequential loss or damage which they may sustain or to treat the contract as repudiated or to rescind it or any related contract. Unless otherwise agreed in writing, the Company will deliver the products to the address specified by the Customer by the means most convenient to the Company. Off-loading shall be at the Customer’s risk. 5. Terms of Payment Where credit terms have been approved, all charge accounts shall be paid within 30 days of the month’s end of the date of the Company’s invoice, unless an agreed change to these terms has been made in writing. All other accounts shall be paid by means of cash on delivery (COD). Time is of the essence with respect to all payments under this Agreement. The Company is entitled to charge interest at the rate 2.5% per month on all overdue accounts and, in addition, may suspend work and postpone the fulfilment of its obligation until such overdue payment is made. No disputes as to the quality or performance of the goods shall entitle the Customer to delay payment. Offsets or contras are not accepted under this contract, unless prior agreement is made in writing. 6. Cancellation The Company shall only accept cancellation on condition the initial service period (one year unless stated on a written contract) has been completed after this period 3 months’ written notice is required. The Company is entitled to terminate this contract for any material breach by the Customer. 7. Law and Jurisdiction The contract shall be governed and construed in all respects in accordance with English Law, and all disputes shall be subject only to the jurisdiction of the English Courts.
